Terms of Service

These Terms govern your use of the HeimOS website, admin console, and AI gateway (together, the "Service"), operated by HeimOS ("HeimOS," "we," "us," or "our"). By creating an account, deploying the gateway, or sending a request through it, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company, and "you" means that company.
1. What HeimOS does
HeimOS is a gateway that routes traffic from your applications to AI model providers and MCP tool servers, and applies the authentication, spend limits, guardrails, and audit logging you configure. We are infrastructure between your systems and third-party providers. We do not produce model outputs, and we do not control what those providers return.
2. Accounts
You need an account to use the hosted Service, and you must give accurate registration information and keep it current. You are responsible for everything that happens under your account and your API keys, including actions taken by your team members. Keep credentials secret, rotate them when staff change, and tell us promptly if you suspect a compromise. You must be at least 16 years old and legally able to enter a contract.
3. Your content and configuration
You keep all rights to the prompts, completions, data, and configuration you send through the Service ("Your Content"). You grant us a limited licence to process and transmit Your Content solely to operate the Service for you — routing requests, enforcing your policies, metering usage, and producing your audit trail. That licence ends when you delete the content or close your account. We do not use Your Content to train models.
You are responsible for having the rights to send Your Content through the Service and to the providers you configure, and for complying with those providers' terms and usage policies.
4. Acceptable use
You may not use the Service to:
- Break the law, infringe someone's rights, or violate a model provider's usage policy.
- Route traffic on behalf of third parties as an unauthorized resale of provider capacity.
- Circumvent quotas, rate limits, guardrails, or billing, including by creating multiple accounts.
- Probe, scan, overload, or otherwise interfere with the Service or other customers' use of it.
- Send malware, or use the Service to attack, surveil, or defraud anyone.
- Reverse engineer the hosted Service or benchmark it for a competing product without our written consent.
We may suspend access without notice if we reasonably believe your use threatens the security, legality, or stability of the Service, and we will tell you why as soon as we can.
5. Third-party providers
Your relationship with each model provider and MCP server operator is your own. You supply the credentials, you choose the routes, and you pay those providers directly unless we state otherwise. We are not responsible for their availability, pricing, output quality, or terms, and provider outages may affect your traffic even when HeimOS is healthy. Failover and fallback routing reduce that risk; they do not eliminate it.
6. Plans, fees, and billing
Paid plans are billed in advance on a recurring basis and any usage-based charges are billed in arrears. Fees are non-refundable except where required by law or expressly stated in an enterprise agreement. Taxes are your responsibility. We may change pricing with at least 30 days' notice, effective at your next renewal. If payment fails, we may downgrade or suspend the account after reasonable notice. Spend limits you configure govern provider spend, not HeimOS subscription fees.
7. Free and beta features
Free plans and features labelled beta, preview, or experimental are provided as-is, may change or disappear, and carry no availability commitment. Don't put anything mission-critical behind them.
8. Our intellectual property
The Service, including its software, documentation, and brand, belongs to HeimOS and its licensors. We grant you a non-exclusive, non-transferable right to use it during your subscription. Open-source components are governed by their own licences. Feedback you send us is welcome and we may use it freely, without obligation to you.
9. Availability
We work hard to keep the gateway up and publish our performance numbers, but we do not guarantee uninterrupted service unless an enterprise agreement includes a written SLA. We may perform maintenance, and will give advance notice of planned downtime where practical.
10. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Guardrails, redaction, and spend controls are risk-reduction tools; they are not guarantees, and you remain responsible for reviewing AI output before relying on it in a regulated or high-stakes context.
11. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations or to liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify HeimOS against third-party claims arising from Your Content, your use of the Service, or your breach of these Terms or of a provider's policies.
13. Term and termination
You may stop using the Service and close your account at any time from the console. We may terminate or suspend for material breach, non-payment, or legal necessity. On termination, your right to use the Service ends and we delete your data on the schedule described in the Privacy Policy. Export your audit history and configuration before you go — we can help if you ask.
14. Changes to these Terms
We may update these Terms as the Service evolves. Material changes will be announced by email or in-console notice at least 14 days before they take effect. Continuing to use the Service after that means you accept the new version.
15. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and the state and federal courts located in San Francisco County, California have exclusive jurisdiction. Before filing anything, email us — most disputes are faster to solve in a thread than in a filing.
16. General
These Terms, plus any enterprise order form and the Privacy Policy, are the entire agreement between us. If a provision is unenforceable, the rest survives. Our not enforcing a term isn't a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
